Welcome to ToolifyPDF. These Terms of Service ("Terms") govern your access to and use of the ToolifyPDF website located at toolifypdf.com and all related services, tools, and features (collectively, the "Service"). By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of our Service.

1. Use of Services

ToolifyPDF provides free online tools for working with PDF documents, including but not limited to: merging, splitting, compressing, converting, editing, watermarking, rotating, adding page numbers, extracting images, and other PDF manipulation functions. We grant you a personal, non-exclusive, non-transferable, revocable license to use these tools for lawful purposes in accordance with these Terms.

File Size Limit: The maximum file size accepted by our Service is 500 MB per upload. Files exceeding this limit will be automatically rejected. You are responsible for ensuring your files are within this limit before uploading.

Acceptable Use: You agree to use the Service only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict or inhibit their use of the Service. You are solely responsible for ensuring that your use of the Service complies with all applicable local, provincial, national, and international laws and regulations.

Prohibited Activities: You expressly agree NOT to engage in any of the following prohibited activities:

Upload or process files containing illegal content such as child exploitation material, content promoting violence or terrorism, or materials that infringe intellectual property rights.
Upload files containing malware, viruses, trojan horses, worms, ransomware, spyware, or any other malicious code.
Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of our software, algorithms, or underlying technology.
Interfere with or disrupt the integrity, security, or performance of the Service, including denial-of-service attacks or exploiting vulnerabilities.
Access or attempt to access areas of the Service or our systems that you are not authorized to access.
Use automated scripts, bots, scrapers, or other automated means to access the Service beyond reasonable personal use or without our prior written permission.
Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Service for commercial purposes without our express written permission.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
Collect or harvest any information from the Service, including user data, without authorization.

Violation of these prohibited activities may result in immediate termination of your access to the Service and may be reported to appropriate law enforcement authorities.

2. File Handling and Security

We understand the importance of handling your files securely and privately. This section explains how we process, store, and delete files uploaded to our Service.

Automated Processing Only: When you upload files to ToolifyPDF, they are processed entirely by automated software systems. No human employee, contractor, or third party ever views, reads, opens, or manually accesses the contents of your files at any stage of the process.

Automatic Deletion: All uploaded files and processed outputs are automatically and permanently deleted from our servers within one (1) hour after processing is complete. This deletion is irreversible and applies to both the original files you uploaded and any processed results. We do not create, retain, or store any copies, backups, or archives of your files beyond this window.

Encryption and Security: All file uploads and downloads are encrypted using SSL/TLS protocols (HTTPS). Our servers are hosted in secure data centers with physical security controls, access restrictions, and regular security monitoring.

Your Responsibilities: You acknowledge and agree that: (a) you are solely responsible for maintaining backup copies of any files you upload, as we cannot recover files after deletion; (b) you must ensure you have the legal right to upload, process, and modify any files you submit; (c) you must not upload files containing confidential information belonging to third parties without proper authorization; and (d) you assume all risks associated with the transmission of data over the internet.

3. Intellectual Property

Our Intellectual Property: The ToolifyPDF website, including its design, interface, graphics, logos, text content, software code, algorithms, and all other materials (collectively, "Our Content"), is owned by ToolifyPDF and is protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws. All rights not expressly granted in these Terms are reserved.

Your Content: You retain full ownership of all files, documents, and content that you upload to our Service ("Your Content"). We do not claim any ownership rights over Your Content. By uploading files, you grant us a limited, temporary license solely to process your files as necessary to provide the requested PDF tool functionality. This license terminates automatically upon deletion of your files from our servers.

Third-Party Rights: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to upload and process any files you submit, and that doing so does not infringe upon any third party's intellectual property or proprietary rights.

4. DMCA and Copyright Takedown

ToolifyPDF respects intellectual property rights. If you believe that any content processed through or displayed on our Service infringes your copyright, please send a written notice to contact@toolifypdf.com containing: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material you claim is infringing; (c) your contact information including name, address, telephone number, and email; (d) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (e) a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

We will investigate valid notices and take appropriate action, which may include removal of infringing content and termination of repeat infringers' access to the Service.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

No Guarantee of Availability: We do not warrant that the Service will be available at all times, uninterrupted, or error-free. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

No Guarantee of Results: We do not warrant that results obtained from using the Service will be accurate or meet your specific requirements. You are responsible for reviewing processed files before relying on them.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOOLIFYPDF, ITS OWNERS, OPERATORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of data, files, or documents, whether caused by system failures, security breaches, or any other reason
Loss of profits, revenue, business opportunities, goodwill, or anticipated savings
Business interruption, delays, or inability to use the Service
Errors, inaccuracies, or defects in processed files or conversion results
Unauthorized access to or alteration of your files or transmissions
Any damages arising from reliance on information or results obtained through the Service

These limitations apply regardless of the theory of liability, even if we have been advised of the possibility of such damages. Because the Service is provided free of charge, our total cumulative liability shall not exceed the amount you paid to use the Service (in this case, $0 CAD). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless ToolifyPDF, its owners, operators, affiliates, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Service; (c) your violation of any third-party right, including any copyright, trademark, or privacy right; (d) any files you upload that are illegal, infringe on third-party rights, or otherwise cause harm; or (e) any claim that your files caused damage to a third party.

8. Force Majeure

ToolifyPDF shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power outages, internet or telecommunications failures, cyberattacks, or other events outside our reasonable control. In such events, our obligations will be suspended for the duration of the force majeure event.

9. Modifications

We reserve the right to modify these Terms at any time, in our sole discretion, without prior notice. Any changes will be effective immediately upon posting the revised Terms on this page. We will update the "Last updated" date to reflect the most recent changes. Your continued use of the Service after any changes constitutes your acceptance of the modified Terms.

10. Governing Law and Dispute Resolution

These Terms of Service and any disputes arising out of or relating to these Terms or your use of the Service shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution: Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction located in Alberta, Canada, and both parties consent to the exclusive jurisdiction of such courts.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ToolifyPDF regarding your use of the Service and supersede all prior communications, representations, or agreements relating to the subject matter hereof.
